361Core: an exclusive gateway to private investments for qualified, vetted members

361Core is an invite-only program that enables family offices to collaborate, share, vet, and co-invest in unique private alternative investment opportunities, both direct deals and niche funds. We created 361Core to provide a structured approach, leveraging the combined strengths of our core family offices.

Our core beliefs for effective investing are:

Key Criteria for Targeted Companies*: 

  • Growth Stage Companies

    • Scalable business model

    • Unique Access (warm relationships and/or somewhat “proprietary”) 

    • Domain Expertise so that Members and/or 361 team can add value

    • Compelling economics (25%+ IRR), with optimized structure  

    • Size Available - in the $5-50M range (preferably $10-20M)

    • Moat, i.e. defendable, competitive advantages

    • Strong Management 

    • Impact in aspects driving growth preferable

    • Exit or liquidity event clarity

  • Companies in Thematic SPV Baskets (e.g. renewables)

  • Special Situations

    • Unique risk-reward special situations 

    • Private Secondaries 

Key Criteria for Targeted Funds: 361 plans a Multi-Strat Fund to invest as above

361Core – Member Code of Conduct 

  • Commitment to be Actively Engaged

    • Attend all meetings at least virtually, 50% in person, prepared by reviewing meeting materials, actively participating

    • Join at least two 360 Deal Circles to review opportunities

    • Refer at least two deals (and ideally two potential Members)

  • Responsive to Other Members and 361Firm when contacted with respect to deal opportunities (within 48 hours where possible)

  • Maintain Confidentiality under NDA and Chatham House Rules

  • Execute and adhere to Membership Agreement, Procedures, Buy Side Agreement

Transaction and Other Fees  

Fees for Direct Investments Sourced via 361Firm

  •  No 361 involvement - buy-side intro fee of 0.5%

  •  Pursue privately involving another Member with minimal 361 involvement - 1.0%

  •  Via 361Core Screening Process 

    • direct to cap table - 2.0%

    • If via SPV - 0%-0.5% Mgt. fee (admin) + 10% Carry (20% after 15% IRR or 2.5x MOIC)

Fees for Investments into Fund Sourced via 361Firm 

 (1) ​Intro fee of 1% for the direct investment into a fund

 (2) Mgt. fee/Carry for 361 Asset Management SPVs into funds: 0%-0.5% Mgt. fee + 5% carry 

General

Annual Membership Fee

  1. The Annual Membership Fee for 361 Core is $50K

  2. 361 Firm will invite a limited number of Founding Members to join for $25K

  3. 75% of the Membership Fees are an advance, credited against Transaction Fees

  4. Fee includes access to 361 Firm deal platform and all 361 Firm events

  5. After two years, annual fee increases to $100K ($50K for Founding Members)
